Legal
Terms of Use
1. Purpose and acceptance
These Terms of Use govern access to and use of the platform developed and operated by Rabbit Tecnologia e Web3 LTDA, registered under CNPJ 47.544.516/0001-60, doing business as Rbbt Lab ("Rbbt Lab", "we").
Contracting the Platform, creating an account or starting the operation of any channel implies full acceptance of these Terms. Whoever accepts them declares that they have the authority to bind the legal entity they represent.
Specific commercial conditions — scope, prices, deadlines and service levels — are set out in the Commercial Proposal or in the Agreement signed with each Customer. In case of conflict, the specific instrument prevails.
2. Definitions
| Term | Meaning |
|---|---|
| Platform | Rbbt Lab's software that operates customer-service and sales agents integrated with messaging channels |
| Customer | The legal entity that contracts the Platform |
| Consumer | The natural person who interacts with the Customer through a Channel operated by the Platform |
| Channel | A phone number, account or profile connected to the Platform |
| Meta | Meta Platforms, Inc. and its affiliates, providers of the WhatsApp Business Platform and Instagram |
3. What the Platform does
The Platform receives messages sent by Consumers to the Customer's Channels, interprets their content, generates replies and keeps the conversation history so the service can continue. It also allows creating and sending message templates, checking service metrics and integrating with the Customer's systems when contracted.
Rbbt Lab is a technology provider. We are not a party to the consumer relationship between the Customer and its Consumers, we do not sell the Customer's products or services, and we are not liable for the obligations the Customer assumes towards them.
4. Relationship with Meta
The Platform operates on the WhatsApp Business Platform. Regarding this architecture:
- The WhatsApp Business Account (WABA) and the connected phone numbers belong to the Customer, who registers them in its own Business Portfolio at Meta.
- The Customer contracts Meta directly and is billed by Meta for the API's message consumption. Rbbt Lab does not resell, intermediate or pass on this cost — our fees pay exclusively for the software and the services we provide.
- The use of the Channels is subject to Meta's own terms and policies, including the WhatsApp Business Solution Terms, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. The Customer declares that it knows them and undertakes to comply with them.
- Meta's decisions on message template approval, quality rating, messaging limits, and restriction or banning of numbers are Meta's and outside our control. We act to prevent them and to support the Customer in reversing them, without guaranteeing any result.
5. Customer obligations
When using the Platform, the Customer undertakes to:
- Obtain and keep proof of each Consumer's explicit opt-in before any promotional message is sent, and honor unsubscribe requests immediately.
- Send only lawful, truthful content compatible with Meta's policies.
- Act as Controller of the personal data processed in its Channels, defining the purposes of the processing and answering for the legal bases it invokes, under the Privacy Policy.
- Keep its access credentials confidential and answer for the acts of its users.
- Provide truthful registration information and keep it up to date.
- Keep a human service channel available to any Consumer who requests it.
6. Prohibited conduct
The Customer may not, directly or through third parties:
- Send unsolicited bulk messages, spam, or import contact lists without consent
- Transmit content that is unlawful, misleading, discriminatory, defamatory or that infringes third-party rights
- Sell products or services prohibited by the WhatsApp Commerce Policy
- Resell, sublicense or assign access to the Platform to third parties without written authorization
- Reverse engineer, decompile or attempt to extract the source code
- Circumvent technical, security or volume limits, or exploit vulnerabilities
- Use the Platform to collect personal data in breach of the LGPD
- Target communications at children and adolescents without the support of art. 14 of the LGPD
7. Artificial intelligence — what we guarantee and what we do not
The Platform uses language models to interpret messages and generate replies. The Customer must understand the implications:
- Replies are generated automatically and may contain inaccuracies. We do not guarantee the accuracy, completeness or suitability of any specific reply.
- It is up to the Customer to define the scope of what the agent may state on its behalf, review the configured content and supervise the operation.
- Critical information — price, delivery time, availability, contractual conditions — must be validated against the Customer's systems before it creates any obligation.
- There is no automated decision with legal effect or significant impact on Consumers. Human service remains available upon request.
8. Intellectual property
The Platform, its code, architecture, interfaces, trademarks and documentation are the exclusive property of Rbbt Lab. These Terms grant the Customer a non-exclusive, non-transferable and revocable license of use, limited to the term of the agreement and to the purposes set out in it. No provision transfers ownership.
The content the Customer enters into the Platform — texts, catalogs, knowledge bases, trademarks — remains its property. The Customer grants us a license of use limited to what is necessary to operate the contracted service.
9. Price, payment and taxes
Amounts, billing frequency and payment method are set out in the Commercial Proposal. Unless otherwise provided:
- Amounts are net of applicable taxes, which will be added as required by law
- Late payment subjects the Customer to monetary adjustment, interest of 1% per month and a 2% fine
- Default for more than 30 days authorizes the suspension of access, upon prior notice
- The costs Meta charges for message consumption are billed directly to the Customer and are not part of our fees
10. Confidentiality
Each party undertakes to keep confidential the other party's confidential information to which it has access, using the same degree of care it applies to its own, and to use it only to perform the agreement. This obligation survives for 5 years after the relationship ends.
Information that is public, already known before access, lawfully obtained from third parties, or whose disclosure is required by a competent authority is not considered confidential.
11. Data protection
The processing of personal data is governed by our Privacy Policy, which is part of these Terms.
In short: in conversations between Consumers and the Customer, Rbbt Lab acts as Processor and the Customer as Controller. The Customer answers for the purposes and legal bases of the processing it determines; we answer for the security and the execution of the processing according to its lawful instructions.
12. Availability, support and changes to the service
We make efforts to keep the Platform continuously available, but we do not guarantee uninterrupted or error-free operation. Unavailability may occur due to scheduled maintenance, supplier failures — including Meta itself — or events beyond our reasonable control.
Service levels and support channels, when contracted, are set out in the Commercial Proposal.
We may evolve, modify or discontinue features. Changes that materially reduce contracted features will be communicated at least 30 days in advance.
13. Suspension and termination
We may suspend access, immediately and without notice, in the event of:
- Breach of these Terms, of Meta's policies or of applicable law
- Concrete risk to the security of the Platform or to third parties
- An order from a competent authority or from Meta
Either party may terminate the relationship under the specific agreement. Once the relationship ends, access is revoked and the data in our custody is deleted or returned within 90 days, as set out in section 6 of the Privacy Policy.
14. Warranties and limitation of liability
The Platform is provided as is. We give no warranty that it will achieve any specific business result, such as sales volume, conversion rate or cost reduction.
We are not liable for:
- Acts, omissions, decisions or charges of Meta, including the restriction, suspension or banning of Channels
- Content created, configured or approved by the Customer
- Use of the Platform in breach of these Terms
- Unavailability of third-party services on which the Platform depends
- Indirect damages, lost profits and loss of opportunity
Except in cases of willful misconduct and breach of data protection law, Rbbt Lab's aggregate liability is limited to the amount actually paid by the Customer in the 12 months preceding the event that gave rise to it.
15. Changes to these Terms
These Terms may be updated. The date of the last revision is shown at the top of the document. Material changes will be communicated to Customers at least 30 days in advance. Continued use after they take effect implies acceptance.
16. General provisions
- Tolerance of a breach of any obligation does not imply waiver or novation
- The invalidity of one clause does not affect the others
- These Terms do not create a corporate, employment or agency relationship between the parties
- The Customer may not assign its contractual position without written consent
17. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the District of São Paulo/SP are elected to settle any disputes, to the exclusion of any other.
